Commercial Contracts and Technology Transactions
Marco S. Zambrano is a partner in the Los Angeles office of Sanchez Amador & Reyes, LLP, where he advises clients on commercial and business transactions. Marco’s practice focuses on commercial contracts, technology transactions, and secured lending, with particular depth in complex technology driven and operational agreements. He brings a practical, business oriented perspective shaped by more than a decade of in house legal counsel experience at multinational corporations.
Marco began his legal career at Sanchez & Amador, LLP, where his work included secured lending and general corporate matters. He later spent more than twelve years as in house legal counsel at Nestlé USA, Inc. and Securitas Security Services USA, Inc., before returning to the firm in 2017. Marco’s in house experience informs a pragmatic, business oriented approach to legal counseling that emphasizes risk management, efficiency, and practical outcomes.
Marco has extensive experience negotiating complex business and technology agreements from both the vendor and customer perspectives. At Nestlé, he was responsible for legal oversight of technology transactions, data privacy, and cybersecurity matters for Nestlé USA, Inc., and multiple Nestlé affiliates. In earlier roles, he supported the Nestlé North America procurement team, advising on complex commercial transactions across a broad range of operational categories.
Marco’s representative experience includes technology transactions involving software-as-a-service (SaaS), cloud services, and licensing; outsourcing and supply chain agreements; data privacy statements and policies; website terms of use; market research and consumer insights agreements; marketing, promotions, and advertising arrangements; contract manufacturing, including co-manufacturing and co-packaging agreements (Co-Man and Co-Pack); customer and sales agreements; and consulting and professional services contracts.
Marco received his Bachelor of Arts degree from California State University, Los Angeles, and his Juris Doctor degree from the University of California College of the Law, San Francisco (formerly University of California, Hastings College of the Law), where he was a member of the Hastings Communications and Entertainment Law Journal. Marco is admitted to practice law in California and is a member of the State Bar of California.
